Starting October 1, 2026, new regulations for mergers and acquisitions in Romania will require companies to notify the Competition Council for transactions exceeding certain thresholds. The new rules, established by Order no. 2.192/2026, replace the previous regulations and outline the conditions under which economic concentrations must be reported. Transactions must be notified before implementation, and companies are encouraged to consult with the Council beforehand. A simplified procedure may apply for transactions that do not significantly affect competition. The Council will assess whether a transaction creates significant obstacles to competition, with a detailed investigation possible for complex cases. New forms for transaction notifications will also be introduced.
